What applies between us.
These terms govern the use of Sumaro, from sign-up through the free trial to cancellation.
§ 1 Scope
These terms apply to all contracts between ELEVATE SCALE LTD, Karatza 32, 3030 Limassol, Cyprus (“Sumaro”, “we”) and its customers concerning the use of the Sumaro software. Sumaro is aimed exclusively at businesses (Unternehmer) within the meaning of § 14 BGB (German Civil Code), not at consumers. Deviating terms of the customer apply only if we expressly agree to them in writing.
§ 2 Conclusion of contract
The presentation of Sumaro on sumaro.co is non-binding and does not constitute a binding offer. A contract is concluded when you sign up and we confirm the registration by activating your access. We may decline a registration without giving reasons, for example where there is a reasonable suspicion of misuse.
§ 3 Free trial
You can try Sumaro free of charge for 30 days without providing payment details. During the trial, the same terms apply as for a paid subscription, with the exception of the obligation to pay. If you do not choose a subscription within the trial, your access ends automatically; your data will be deleted 30 days after the end of the trial unless you choose a subscription before then. Restoration after this period is not possible.
§ 4 Scope of services
Sumaro provides web-based software for estimates, invoices, receipts, bank reconciliation and the related reporting. The exact range of features is set out in the current product description on sumaro.co. We develop Sumaro continuously; individual features may change as long as the overall character of the service is preserved. We will announce material restrictions with reasonable advance notice.
§ 5 Customer account and duties to cooperate
You are responsible for keeping your login credentials confidential and will inform us without undue delay if you suspect unauthorized access. You are obliged to comply with applicable law when using Sumaro, in particular when handling data of your own clients. You are responsible for any content you enter into Sumaro (e.g. invoice texts, client data).
§ 6 Prices and payment
The price shown on sumaro.co at the time of your sign-up applies, currently €19 per month plus statutory VAT. Billing takes place monthly in advance via our payment service provider Stripe. We will announce price changes at least one month in advance; if you do not agree to the change, you may terminate the contract extraordinarily with effect from the date the change takes effect.
§ 7 Term and cancellation
Sumaro has no minimum contract term. The subscription renews automatically for one month at a time unless you cancel. You can cancel at any time with effect from the end of the current billing month, directly in the settings under “Abo verwalten oder kündigen” (manage or cancel subscription). We may terminate the contract with one month’s notice to the end of a month; the right of either party to extraordinary termination for good cause remains unaffected, for example in the event of significant payment arrears or a serious breach of § 5.
§ 8 Availability and disruptions
We strive for high availability of Sumaro, but cannot guarantee any particular level of availability, in particular for planned maintenance, which we announce where possible, and for disruptions beyond our control (e.g. at Vercel, Supabase or other service providers we use).
§ 9 Consequences of termination and account deletion
When the termination takes effect, your access to Sumaro ends at the end of the billing period. At your request, we will then delete your user account and all personal login and contact data. Invoices, estimates and accounting records you have created are subject to statutory retention obligations of up to ten years and remain stored in anonymized form for that period; we are not legally permitted to delete these records early. You can request a complete export of your data at any time before deletion.
§ 10 Liability
We are liable without limitation for intent and gross negligence and for injury to life, body or health. In the event of a slightly negligent breach of material contractual obligations (obligations whose fulfillment makes the proper performance of the contract possible in the first place), our liability is limited to the foreseeable damage typical for this type of contract, and in total to no more than the fees paid in the current calendar year (currently being finalized with legal counsel). Otherwise, liability is excluded. Sumaro does not replace tax or legal advice; responsibility for the accuracy of the content of your invoices and information remains with you.
§ 11 Data protection
The processing of personal data is governed by our privacy policy. For data of your own clients that you process in Sumaro, you generally remain the controller under data protection law yourself.
§ 12 Changes to these terms
We may amend these terms with four weeks’ notice if this is necessary for legal reasons or because of the further development of Sumaro. If you do not object within two weeks of receiving the notice of change, the change is deemed accepted; we will point out this consequence separately in the notice of change. If you object, you have a right of extraordinary termination.
§ 13 Final provisions
Governing law and place of jurisdiction are currently being agreed with legal counsel and will be added here. Should any provision of these terms be invalid, the remaining provisions remain valid.
